Terms of Use

Use of the Services is intended for individuals who are at least 18 years old and capable of forming a binding contract under applicable law. By using the Services, you represent that you meet these criteria.

• You may need an account to use certain features.
• You must provide accurate and complete information and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• You must promptly notify Zonko of any unauthorised access or security incident involving your account.

Zonko may suspend or terminate accounts where it reasonably believes there is a security risk, violation of these Terms, or misuse of the Services.

Zonko develops AI-native products, including but not limited to AI-powered design tools, AI assistants and AI-native social or collaboration features. Features may include:

• generating text, images, designs, layouts, or other content based on your prompts or inputs;
• analysing or transforming content you provide;
• enabling sharing and collaboration with others;
• experimenting with new AI and product concepts.

The specific features and availability may change over time, including through beta or experimental releases.

Zonko may add, modify, suspend or discontinue any part of the Services, including features, plans, limits and interfaces. Certain features may be labelled as "beta", "experimental" or similar, and may be subject to additional risks, limitations or conditions.

Subject to these Terms and any applicable plan-specific terms, Zonko grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business or personal purposes, in accordance with all applicable laws.

You obtain no rights in the Services except those expressly granted in these Terms.

"Your Content" includes prompts, messages, files, images, videos, audio, designs, documents, code, profile information, and any other material you submit to or through the Services, including associated metadata.

You retain ownership of Your Content, subject to any rights of third parties.

You grant Zonko a worldwide, non-exclusive, royalty-free licence (with the right to sublicense to service providers and partners) to use, reproduce, host, store, process, adapt, translate, distribute, perform and display Your Content as necessary to:

• operate, provide and maintain the Services;
• generate outputs and results;
• comply with law;
• prevent abuse and ensure security;
• improve the Services and underlying technologies where legally permitted and in line with the Privacy Policy.

You are solely responsible for:

• ensuring that Your Content and your use of the Services comply with all applicable laws and rights of third parties;
• obtaining all necessary consents, permissions and licenses to submit Your Content and to grant the licences in these Terms;
• backing up Your Content.

"Output" means content generated or returned by the Services based on Your Content or interactions.

Subject to these Terms and any specific plan-level terms:

• Zonko grants you a licence to use Outputs for your permitted purposes, including commercial use, to the extent allowed by applicable law and rights of third parties.
• The Services involve probabilistic AI systems. Output may be similar or identical for different users and may draw on patterns learned from many sources. Exclusive ownership or originality cannot be guaranteed.
• You are responsible for reviewing Output for accuracy, completeness, legality and suitability for your use case, including in regulated or high-risk contexts.

Zonko retains all rights in the Services, models, training techniques, algorithms and systems used to generate Output.

You must not, and must not enable or encourage others to:

Zonko may investigate and respond to suspected violations, including by removing content, suspending or terminating access, or cooperating with law enforcement where required by law.

The Services may interoperate with, or rely on, third-party services, software, models or libraries. Use of third-party services is subject to their own terms and policies. Zonko is not responsible for third-party services it does not control.

The Services may include or link to open-source components. Any use of such components is subject to the applicable open-source licences, which may be provided in documentation or a separate notice.

If you provide feedback, ideas or suggestions ("Feedback"), Zonko may use it without restriction, obligation or compensation, including to improve existing or future products and services.

Zonko's handling of personal data is described in the Privacy Policy. By using the Services, you acknowledge that we process personal data in accordance with the Privacy Policy and applicable law.

Except for Your Content and rights expressly granted in these Terms:

• Zonko and its licensors own all right, title and interest in and to the Services, including software, models, algorithms, designs, text, graphics, logos, trademarks and other materials;
• No rights are granted to you under any patents, copyrights, trade secrets, trademarks or other IP rights, whether by implication, estoppel or otherwise.

Any use of Zonko's trademarks, logos or brand elements requires prior written permission where required by law.

The Services, including all Outputs, are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law:

• Zonko disclaims all warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement and title;
• Zonko does not warrant that the Services or Output will be uninterrupted, error-free, accurate, reliable, secure, or free of harmful components;
• AI-generated Outputs may be incorrect, incomplete, offensive, or otherwise problematic, and are not a substitute for professional judgment or independent verification.

Some jurisdictions do not allow the exclusion of certain warranties. In that case, the exclusions above apply to the fullest extent permitted by applicable law.

To the maximum extent permitted by law:

• Zonko and its directors, officers, employees, contractors, agents and affiliates are not liable for indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of profits, revenues, goodwill, data or business opportunities, arising out of or in connection with the Services or these Terms, whether based on contract, tort, negligence, strict liability or any other theory, even if advised of the possibility of such damages;
• Zonko's total aggregate liability for all claims arising out of or relating to the Services or these Terms is limited to the greater of: (a) the total fees you paid to Zonko for the Services giving rise to the claim during the six (6) months preceding the event giving rise to the claim; or (b) INR 10,000.

These limitations apply to the fullest extent permitted by applicable law and regardless of whether any limited remedy fails of its essential purpose.

To the extent permitted by law, you agree to indemnify and hold harmless Zonko and its directors, officers, employees, contractors, agents and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to:

• Your Content;
• your use of the Services;
• your violation of these Terms;
• your violation of any applicable law or third-party right.

You may stop using the Services at any time.

Zonko may suspend or terminate access to the Services (in whole or in part) at any time, including where:

• you breach these Terms or applicable law;
• your use poses a security risk or could adversely impact the Services or others;
• provision of the Services is no longer commercially or technically viable in a region;
• required by law or governmental authority.

Upon termination:

• your right to use the Services will cease;
• certain provisions will continue to apply, including those concerning ownership, disclaimers, limitations of liability, indemnity and dispute resolution.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.

Subject to any applicable law requiring otherwise, any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

Zonko may update these Terms from time to time, including to reflect changes in the Services, technology, or applicable law. When changes are made, the "Effective date" at the top will be updated. Where required by law or where changes are material, additional notice may be provided.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

• Entire agreement: These Terms, together with any applicable supplemental or service-specific terms and the Privacy Policy, form the entire agreement between you and Zonko regarding the Services.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No waiver: Failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign or transfer these Terms or your rights or obligations under them without Zonko's prior written consent, and any attempted assignment without consent is void. Zonko may assign these Terms in connection with a merger, acquisition, corporate reorganisation or sale of assets, or by operation of law.
• Relationship: These Terms do not create any partnership, joint venture, employment or agency relationship between you and Zonko.
